Resumen

Resumen: La falta de transposición formal en Derecho español del artículo 4.2 de la Directiva93/13/CEE sobre cláusulas abusivas en contratos de consumo venía causando en la jurisprudencia españolauna incertidumbre insostenible acerca de si cabe declarar la nulidad como cláusula abusiva deaquélla que define el objeto principal del contrato (o incluso la relación calidad/precio), aunque estuvieseredactada de forma clara y transparente. El Tribunal de Justicia de la Unión Europea (TJUE) dictó el3 junio 2010 una sentencia (caja Caja Madrid) en la que, respondiendo a las tres cuestiones prejudicialesplanteadas por el Tribunal Supremo (TS) español, señalaba que los Estados miembros podían, al transponerdicho precepto, elevar el nivel de protección de los consumidores y, en consecuencia, permitirun pleno control judicial de todo tipo de cláusulas, incluidas las relativas a los elementos esenciales delcontrato. Más aún, la STJUE llegaba a afirmar, derivándolo de manifestaciones del TS español, que eseera el régimen vigente en España. Si bien el impacto aparente de la sentencia Caja Madrid a primeravista podría haber sido zanjar la cuestión, permitiendo dicho control, su impacto real dista de ser ese: nipodía el TJUE zanjar la cuestión en el Derecho nacional ni lo había hecho el TS español hasta la STSplenaria de 9 de mayo 2013 sobre las cláusulas suelo en préstamos hipotecarios. Este ensayo examinacríticamente la jurisprudencia del Tribunal Supremo entre 2010 y 2013, ambigua y contradictoria sobreeste punto capital, y pone en contexto la trascendencia de la STS de 9 de mayo de 2013, a la par que incideen varios aspectos que ni el TJUE ni el TS han resuelto a plenitud hasta el momento (qué se entiendepor elementos esenciales a la luz de ese precepto, con qué criterios se determinan y han de controlarse,cómo ha de relacionarse el resultado de esas sentencias con otras recientes de ambos tribunales en materiade cláusulas abusivas).

Abstract: The lack of formal implementation into Spanish Law of article 4.2 of the Directive93/13/EEC on unfair terms in consumer contracts produced a strong legal uncertainty in the Spanishcase-law, as for determining whether a non-negotiated term which defines the «main subject matter» ofthe contract (and even the «adequacy» between price as against goods or services in exchange) can bedeclared void as an unfair term, provided that these terms are in plain intelligible language. The CajaMadrid judgment published by the Court of Justice of the European Union (CJUE) on 3rd June 2010answered the three preliminary rulings sent by the Spanish Supreme Court (TS) in the sense that MemberStates, when faced with the transposition of that article, may allow a full jurisdictional control of all kindof terms, including the so-called core terms, since this represents an increase in the level of consumerprotection. Furthermore, the CJUE even upheld, relying in the statements of the Spanish TS, that thatwas the law currently in force in the Spanish legal system. While the apparent impact of the Caja Madridjudgment would at first sight seem to have settled the issue, allowing the control of the main subject ofthe contract and the price-quality ratio using the unfairness test, its real impact is very different: neitherthe ECJ nor the Spanish Supreme Court had managed to settle the issue in national law. This has been sountil the STS 9 May 2013 (judgment in plenary session of the Court on the «floor terms» in mortgagecredits). This paper examines with criticism the Spanish Supreme Court’s case-law between 2010 and2013, marked by ambiguity and contradictions. The essay then gives the context of the relevance of thenew solution offered by the STS 9 May 2013 and goes beyond with the analysis of some issues that neitherthe CJUE nor the TS have solved to date (what are «core terms» for this rule, under which parametersthey might be controlled, what is the relationship between these judgments and other recent ones in thefield of unfair terms).
